Scope and Provider
These terms govern the use of SmartDocTO by businesses and other organizations. The service is not intended for consumers. The provider is TechOne CZ s.r.o., Company ID 06010555, with its registered office at Dělnická 213/12, 170 00 Prague 7, Czech Republic.
Contract Documents and Priority
These terms provide the general framework. An order or individual agreement defines the specific scope and price. An SLA may define availability and support, while the data processing agreement governs personal data processing. For a particular issue, the document that addresses it more specifically takes priority.
What the Service Provides
SmartDocTO receives agreed types of business documents, extracts data, applies configured validation and approval rules, and allows approved data to be sent to an ERP or another agreed system. The document types, rules, integrations, and user roles depend on the particular deployment.
Pilot Operation
The pilot is used to verify an agreed process with the customer’s data.
- The start date, duration, limits, and scope of the pilot are stated in the account, order, or agreement with the customer.
- When the pilot ends, new document processing stops. Existing results remain available in read-only mode according to the account settings and the agreed termination process.
- No paid service starts automatically when the pilot ends. The pilot either ends, or we separately agree with the customer to extend it or move to a paid plan.
User Accounts
The customer manages who may use the service and is responsible in particular for:
- Protecting sign-in details and configuring access roles.
- The activity of users to whom the customer has granted access.
- The accuracy of registration, contact, and billing information.
- Promptly reporting suspected unauthorized access or account misuse.
Acceptable Use
The customer must not use the service in a way that threatens its security, operation, or the rights of other persons. In particular, the customer must not:
- Process content or carry out activities contrary to applicable law.
- Disrupt the availability, integrity, or security of the service.
- Attempt to gain unauthorized access to accounts, data, or infrastructure.
- Circumvent limits, protective measures, or the agreed purpose of use.
- Upload content without the required authorization or infringe third-party rights.
Customer Data, Export, and Termination
The customer retains its rights to its documents and data. The following rules apply:
- Uploading documents does not transfer their ownership or rights in their content to TechOne.
- The customer authorizes TechOne to process data only to the extent needed to operate the service, provide support, and meet contractual obligations.
- During the active service, approved data can be exported through available or agreed formats and integration paths.
- For a move to another solution, we will agree the scope of exportable data, format, and reasonable assistance after a written request. This does not affect the customer’s rights under applicable law, including the Data Act where it applies.
- After termination, export, the retrieval period, and subsequent deletion are governed by the agreement, data processing agreement, customer instructions, and applicable law.
Personal Data, Confidentiality, and Security
The privacy policy and data processing agreement describe the rules for personal data. TechOne uses appropriate technical and organizational measures and engages only contractually secured providers needed for the particular deployment. The customer is responsible for having the right to process and submit data entered into the service.
Price, Billing, and Cancellation
The commercial terms of a particular service are set out in the order or individual agreement.
- The price depends on the agreed plan, volume, features, integrations, and support.
- The order or agreement specifies the billing period, due date, and payment method.
- If payment is overdue, we may restrict new processing after notice unless the agreement or applicable law requires a different process.
- The customer may end the subscription by giving written notice that they do not wish to continue for another period. The subscription will not renew and the service will end when the already paid period expires, unless otherwise agreed with the customer.
Operation, Support, and Service Changes
The order or SLA defines the support scope and any availability commitments. We may reasonably change the service for security, legal requirements, or further development. Planned maintenance and material operational changes are communicated in a manner appropriate to their impact.
Review and Approval of Outputs
SmartDocTO works with configured models, rules, and reference data. Confidence levels and validation checks help identify data that needs attention. The customer configures the approval process and decides when data is ready for export. The customer is responsible for the accuracy of approved data and its subsequent use.
Suspension or Termination by TechOne
We may restrict access to the extent necessary or terminate the service in particular in the event of:
- A material or repeated breach of contractual terms that the customer does not remedy within a reasonable period provided, where a remedy is possible.
- Overdue payment after prior notice.
- An immediate security risk to the service, the customer, or other persons.
- A requirement of applicable law or an authorized public body.
Intellectual Property
Use of the service does not change ownership of the platform or customer content.
- SmartDocTO, its software, interfaces, and related materials remain the property of TechOne or the relevant licensors.
- The customer retains rights to its documents, data, trademarks, and materials.
Liability
The scope of liability follows the particular agreement and applicable law.
- The customer is responsible for configuring checks, approving outputs, and decisions made using approved data.
- Any warranties, limits, and compensation are governed by the order or individual agreement.
- Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
Changes to Terms
We may update these terms when the service, legal obligations, or business model changes. We will inform affected customers of a material change with reasonable notice. A change does not by itself amend an individually agreed order or contract.
Governing Law
These terms are governed by the laws of the Czech Republic. Disputes are decided by the competent courts in the Czech Republic unless an individual agreement or mandatory law provides otherwise.
